These Terms of Service govern your access to and use of websites, client services, software products, support services, billing services, client portals, and related digital services operated by Muldoon Web Solutions Inc.
By using our websites, products, or services, you agree to these Terms.
About Muldoon Web Solutions Inc.
Muldoon Web Solutions Inc. is an Ontario corporation that provides practical digital products and web services, including website builds, hosting, WordPress and cPanel support, consulting, maintenance, custom web applications, and software-as-a-service products.
Muldoon Web Solutions Inc. also operates product brands including TeamDock and BoardDock.
In these Terms, “Muldoon Web Solutions Inc.”, “MWS”, “we”, “us”, and “our” refer to Muldoon Web Solutions Inc.
Scope of These Terms
These Terms apply to:
- the Muldoon Web Solutions website;
- client services provided by MWS;
- hosting, support, maintenance, consulting, and website services;
- the MWS client portal;
- billing, invoices, subscriptions, and payment-related services;
- software products operated by MWS, unless separate product-specific terms apply.
TeamDock and BoardDock are product brands operated by Muldoon Web Solutions Inc. Use of those products may also be subject to additional or product-specific Terms of Service, Privacy Policies, subscription terms, acceptable use rules, or product notices.
If product-specific terms conflict with these Terms, the product-specific terms apply to that product.
Accounts and Client Portal Access
Some services may require an account or client portal access.
You are responsible for keeping your login information secure and for all activity under your account. You agree to provide accurate account, organization, contact, and billing information and to keep it up to date.
If you manage an account on behalf of an organization, team, board, club, business, or other group, you confirm that you have authority to act on that organization’s behalf.
You are responsible for managing user access within your own organization, including adding or removing users when roles or responsibilities change.
Client Services
MWS may provide client services such as:
- website design and development;
- website hosting;
- WordPress support;
- cPanel support;
- domain and DNS assistance;
- website maintenance;
- e-commerce and payment form setup;
- custom web applications;
- technical consulting;
- strategy and ongoing support.
Specific work may be governed by a quote, proposal, statement of work, invoice, email approval, or written agreement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will apply to that specific work.
Quotes, Proposals, and Project Work
Project scope, pricing, timelines, deliverables, payment schedules, and responsibilities may be set out in a quote, proposal, statement of work, or written approval.
Unless otherwise stated:
- quoted prices are valid only for the period stated in the quote;
- work begins after required approvals, deposits, access, and materials are received;
- timelines depend on timely client feedback, approvals, content, access, and payment;
- delays in providing materials, access, feedback, or approval may delay the project;
- additional work outside the agreed scope may require a new quote or additional billing.
Customer Responsibilities
You are responsible for:
- using the services lawfully;
- providing accurate information;
- ensuring you have permission to upload, enter, share, or process any information;
- managing access for your organization, team, board, or group;
- keeping login credentials secure;
- reviewing your own content for accuracy;
- obtaining permissions for images, logos, written content, documents, videos, or other materials you provide;
- ensuring your use of the services meets your organization’s legal, regulatory, sport, governance, privacy, accessibility, or policy requirements;
- maintaining your own internal approvals and recordkeeping where required.
MWS may provide tools, support, reminders, or technical guidance, but you remain responsible for your own organization’s operations, decisions, and compliance.
Subscriptions and Billing
Certain products or services may be provided on a paid subscription or recurring basis.
Subscription fees, billing intervals, trial periods, renewal terms, and cancellation options will be shown at signup, in the applicable checkout process, on an invoice, or in a written agreement.
Unless otherwise stated, subscriptions and recurring services renew automatically until cancelled.
You agree to pay all applicable fees, charges, and taxes for the services you purchase or use.
Invoices and Payment
MWS may issue invoices for one-time projects, recurring services, subscriptions, hosting, support, maintenance, domain management, consulting, or other services.
Payment terms will be stated on the invoice, checkout page, quote, proposal, or written agreement.
Payments may be processed through third-party payment providers such as Stripe or other approved processors. You agree to follow the payment terms and processes provided at the time of billing.
If a payment fails, is reversed, is disputed, or remains overdue, we may suspend or limit access to the applicable services until the account is brought up to date.
Taxes
Prices may be listed before applicable taxes unless otherwise stated. You are responsible for paying any applicable taxes, including GST/HST or other taxes that may apply to your purchase.
Free Trials
If a free trial is offered, you may cancel during the trial period to avoid being charged.
After the trial ends, billing will begin according to the selected plan unless the subscription is cancelled before the trial expires.
Trial availability, duration, and features may vary by product or service.
Cancellations
You may cancel a subscription or recurring service according to the cancellation process provided for that service.
Unless otherwise stated, cancellation stops future billing but does not automatically provide a refund for amounts already paid. Access may continue until the end of the current paid billing period.
For client services, project work, hosting, maintenance, support retainers, or custom agreements, cancellation terms may be set out in the applicable quote, proposal, invoice, or written agreement.
Refunds
Refunds are not guaranteed unless required by law or specifically stated in writing.
We may consider refund requests on a case-by-case basis. Approved refunds may exclude setup work, completed work, third-party fees, domain registration fees, payment processing fees, or other non-recoverable costs.
Hosting Services
If MWS provides hosting services, we aim to provide reliable hosting and reasonable support. However, we do not guarantee uninterrupted, error-free, or completely secure hosting unless a specific written service-level agreement says otherwise.
Hosting may rely on third-party infrastructure, data centres, control panels, DNS providers, security tools, email providers, backup tools, or other services.
You are responsible for keeping your website content lawful, accurate, and up to date. You must not use hosting services for spam, malware, phishing, unlawful content, abusive activity, or anything that may harm other users, systems, or networks.
Domains and Renewals
MWS may assist with domain registration, renewal, DNS setup, DNS changes, or domain management.
Unless otherwise stated in writing:
- you are responsible for ensuring domain-related invoices are paid on time;
- missed payments, failed payments, expired cards, delayed approvals, or incomplete information may result in domain expiry or service interruption;
- once a domain expires, recovery may not always be possible and may involve additional fees;
- MWS is not responsible for domain loss, service interruption, email disruption, search ranking changes, or business losses caused by unpaid, expired, incorrectly configured, transferred, or third-party-managed domains.
If MWS manages a domain on your behalf, we will use reasonable efforts to track and communicate renewal information, but you remain responsible for ensuring your account and billing information are current.
Backups and Data Loss
MWS may provide or configure backups as part of hosting, maintenance, or support services. Backups are a safeguard, not a guarantee.
No backup system is perfect. Backups may fail, become corrupted, be incomplete, or be unavailable due to technical issues, third-party service failures, malware, account suspension, storage limits, or other causes.
You are encouraged to keep your own copies of important files, content, documents, and business records.
Support
MWS may provide support through email, client portal, support forms, phone, video call, or other agreed methods.
Support availability, response times, included support, and billable support may vary depending on your service plan, subscription, agreement, or project arrangement.
Unless otherwise stated, support does not include unlimited development work, emergency service guarantees, content writing, third-party platform support, custom feature development, legal review, accounting advice, or services outside the agreed scope.
Acceptable Use
You agree not to use our websites, products, hosting, client portal, or services to:
- break the law;
- infringe on the rights of others;
- upload or distribute malicious code;
- attempt to gain unauthorized access to systems, accounts, data, or networks;
- interfere with service operation;
- harass, abuse, exploit, or harm others;
- upload content you do not have permission to use;
- send spam or unlawful commercial electronic messages;
- host phishing, malware, scam, or deceptive content;
- misrepresent your identity, organization, or authority;
- use the services in a way that creates security, legal, operational, reputational, or technical risk for MWS or others.
We may suspend or remove access if we believe a service, account, website, or user activity creates risk.
Customer Content
You retain ownership of content you upload, enter, submit, or provide to MWS or our services.
By using our services, you grant Muldoon Web Solutions Inc. permission to host, store, process, display, transmit, back up, and use customer content only as needed to provide, secure, maintain, improve, and support the services.
We do not claim ownership of your customer content.
You are responsible for ensuring that you have the rights, permissions, and consents required to provide or upload customer content.
Client Materials and Access
You may provide us with website access, hosting access, domain access, images, logos, documents, written content, account credentials, API keys, DNS information, plugin licences, payment provider access, or other materials needed to provide services.
You confirm that you have authority to provide these materials and access.
We will use client-provided access and materials only as reasonably needed to provide services, support, maintenance, troubleshooting, security, billing, or agreed project work.
Intellectual Property
Muldoon Web Solutions Inc. owns or retains rights in its software, products, design systems, branding, code, workflows, templates, documentation, internal tools, reusable components, methods, processes, and other materials that make up or support our services, except for customer content and materials owned by third parties.
You may not copy, reverse engineer, resell, reproduce, or misuse our services, software, systems, or materials without written permission.
For custom client work, ownership or licensing of final deliverables may be set out in the applicable quote, proposal, statement of work, or written agreement. Unless otherwise stated, MWS may retain ownership of reusable code, frameworks, tools, templates, components, processes, and know-how used to create the deliverables.
Portfolio Use
Unless otherwise agreed in writing, MWS may identify completed client work in its portfolio, proposals, marketing materials, social media, and website. This may include the client name, logo, website link, screenshots, project description, and general services provided.
We will not knowingly publish confidential information or sensitive internal materials as part of portfolio use.
A client may request that certain portfolio details be removed or limited, and we will consider reasonable requests.
Third-Party Services
Our websites, products, and client services may rely on third-party providers, including hosting providers, payment processors, domain registrars, email providers, analytics tools, content management systems, plugins, themes, APIs, security tools, software platforms, or other vendors.
We are not responsible for outages, errors, pricing changes, policy changes, data loss, service changes, discontinuation, account restrictions, or security incidents caused by third-party providers.
Where third-party terms, licences, fees, renewals, or acceptable use rules apply, you are responsible for following them.
Privacy
Use of our websites, products, and services is also governed by our Privacy Policy.
No Professional Advice
Our products and services may include templates, workflows, reminders, document storage, forms, dashboards, reports, technical suggestions, website content support, or organizational tools. These are provided for general operational and technical support only.
Muldoon Web Solutions Inc. does not provide legal, financial, governance, accounting, tax, coaching, medical, clinical, insurance, privacy-compliance, accessibility-compliance, or professional advice.
Customers are responsible for confirming that their own processes, documents, websites, policies, communications, and operations meet their organization’s legal, regulatory, sport, governance, accessibility, privacy, insurance, accounting, or policy requirements.
Service Availability and Changes
We aim to provide reliable services, but we do not guarantee uninterrupted, error-free, or completely secure operation.
We may update, modify, suspend, remove, replace, or discontinue parts of the services as needed for maintenance, security, improvement, legal compliance, operational reasons, or business reasons.
Where reasonable, we will try to provide notice of material changes that affect paid services.
Limitation of Liability
To the fullest extent permitted by law, Muldoon Web Solutions Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, reputation, or service availability.
To the fullest extent permitted by law, our total liability for any claim related to a service will not exceed the amount paid by you to Muldoon Web Solutions Inc. for the applicable service in the three months before the claim arose.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
Indemnity
You agree to indemnify and hold harmless Muldoon Web Solutions Inc. from claims, damages, losses, liabilities, costs, or expenses arising from your unlawful use of the services, your content, your breach of these Terms, your violation of third-party rights, or your failure to obtain required permissions, consents, or approvals.
Suspension and Termination
We may suspend or terminate access to websites, hosting, products, accounts, client portal access, or services if you:
- violate these Terms;
- fail to pay required fees;
- misuse the services;
- create a security, legal, reputational, technical, or operational risk;
- provide false or misleading information;
- use the services in a way that may harm MWS, other customers, users, systems, or third parties.
You may stop using the services at any time.
Termination does not remove your responsibility to pay amounts owed for services already provided, committed, renewed, or used.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.
Any dispute related to these Terms or the services will be handled in Ontario, unless applicable law requires otherwise.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a new effective date or last updated date.
Continued use of the websites, products, or services after changes are posted means you accept the updated Terms.
